We advise on incorporation, on the recruitment, transfer and sale of shares, and on the contracts a business signs in the ordinary course of its work. That runs from setting a company up through to reviewing and negotiating agreements worth millions.
Operating in Quebec brings obligations that do not apply elsewhere in Canada. There is the choice between incorporating provincially and federally. There is annual registration with the Registraire des entreprises. And there are the French language requirements covering company names, contracts of adhesion, employment documents, commercial publications and signage. Handling all of that at the outset costs very little. Retrofitting it later costs a good deal more.
Businesses tend to call a lawyer at two moments: when something is being built, and when something has gone wrong. We would rather be useful at the first. A shareholder agreement drafted carefully while everyone still gets along is worth more than any argument about it afterwards.
Most corporate disputes we are asked to fix trace back to a document drafted to close a deal rather than to survive a disagreement. We draft for the second case. That means asking the awkward questions while everyone is still friendly, which is the least comfortable meeting and the one that saves the money.
