We advise businesses and individuals on commercial property transactions. On leasing we handle both the negotiation and the drafting, and we stay on the file from the opening position through to a signed lease.
For sales and acquisitions of vacant lots and commercial property we run the due diligence and draft the offer. The deed of sale is prepared by the notary, which is how Quebec works, and our job at that point is to make sure the commercial terms you negotiated survive into the document the notary publishes. Title is verified against the land register, and publication is what makes a right opposable to third parties, so what ends up in that deed matters more than people expect.
We also advise on development projects, on financing, and on the construction agreements underneath them. That includes the legal hypothec a contractor or supplier can register against a property once their work has improved it, which is worth understanding well before it turns up on your title.
Development files fail on sequencing more often than on law. Who gets paid at which stage, on whose certification, and what happens to the legal hypothec deadlines when a phase slips. Reading a project schedule is a different skill from reading a contract, and on these files both get read with the same care. The disbursement and completion mechanics are then drafted to match how the work will actually run.
